These Terms of Service (“Terms”) govern your access to and use of the website, services, and tools provided by Mr Moonline LLC under its Moonline Marketing brand (“Moonline Marketing,” “we,” “us,” or “our”), located in San Diego, California. By accessing our website at moonlinemktg.com or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Services

Moonline Marketing provides digital marketing services for businesses and professional practices, focused on visibility in AI-powered and traditional search. Our services include answer engine optimization (AEO), generative engine optimization (GEO), search engine optimization (SEO), structured data and entity foundation work, content generation and publishing to your website and business profiles, AI answer measurement and reporting (whether AI systems name or reference your business), website development, AI-powered receptionist services, and related tools and reporting. The specific scope of services for each client is defined in a separate service agreement.

Eligibility

Our marketing services are available to businesses, professional practices, and their authorized representatives. By engaging our services, you represent that you are authorized to act on behalf of the business and that the business holds all licenses and credentials required to operate in its jurisdiction. Website visitors may browse our site and book a strategy call without restriction.

Account Responsibilities

When you engage our services, you agree to:

• Provide accurate, current, and complete information about your business during onboarding and throughout the service relationship — including the business facts (services, prices, credentials, policies) that our systems publish on your behalf.
• Maintain the security of any account credentials, logins, or access we provide to reporting dashboards or tools.
• Notify us promptly if you become aware of any unauthorized use of your account or any security breach.
• Accept responsibility for all activity that occurs under your account credentials.

Payment Terms

• Retainer fees: Monthly retainer fees are billed in advance at the beginning of each billing cycle as specified in your service agreement.
• Payment methods: Payments are processed via Stripe. You authorize us to charge your designated payment method for all fees due.
• Late payments: Invoices not paid within 15 days of the due date may result in service suspension until the balance is resolved.
• Cancellation: Either party may cancel services with 30 days' written notice. Upon cancellation, you are responsible for fees through the end of the notice period. There are no cancellation penalties or early termination fees.

Intellectual Property

• Our property: The Moonline Marketing platform, proprietary systems, tools, methodologies, measurement systems, and all related technology, software, and processes are the exclusive property of Mr Moonline LLC. Nothing in these Terms transfers ownership of our intellectual property to you.
• Your property: You retain ownership of your business data, customer information, brand assets, and content you provide to us. We use this information solely to deliver our services to you.
• Work product: Websites, published answers, and content we create for your business are owned by you upon full payment. Measurement data, reports, and analytics generated through our platform are provided for your use, but the underlying systems and methodologies remain ours.

AI-Powered Services Disclosure

Our services use artificial intelligence systems to generate and refresh published content. Generated content is grounded in business facts you confirm, and passes an automated quality review before publication; you approve the facts it is built from. The AI receptionist included with our services answers calls on nights and weekends; it is an artificial intelligence system, not a human staff member — it is designed to sound natural and conversational, but callers are interacting with AI technology. By engaging our services, you acknowledge that AI-powered tools will be used to create content and, where applicable, interact with your prospective and existing customers, and you agree to comply with all applicable laws regarding AI-assisted communications in your jurisdiction.

No Guaranteed Results

Marketing results vary based on market conditions, competition, reputation, customer experience, seasonality, and many other factors. Moonline Marketing does not guarantee specific lead volumes, appointment counts, revenue outcomes, search rankings, AI mentions or references, or return on investment. AI answer engines and search engines are operated by third parties (including Google, OpenAI, Perplexity, and Microsoft), and no provider can control their output. While we use proprietary technology and expert oversight to maximize the conditions for visibility — and measure and report the outcome — results cannot be predicted with certainty. Past performance data referenced on our website is illustrative and does not guarantee comparable results for your business.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Moonline Marketing's total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to Mr Moonline LLC in the twelve (12) months preceding the claim.
• Moonline Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of customers, loss of data, or loss of business opportunity, regardless of whether such damages were foreseeable.
• Moonline Marketing is not liable for the actions or failures of third-party platforms — including Google, OpenAI, Perplexity, Microsoft, or other search and AI answer platforms — or for changes in their policies, algorithms, features, or pricing.

Indemnification

You agree to indemnify and hold Mr Moonline LLC, its officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your use of our services, the accuracy of business facts you confirm for publication, or any violation of applicable law by you or your business.

Termination

Either party may terminate the service relationship with 30 days' written notice. Moonline Marketing may also terminate or suspend services immediately if:

• You breach these Terms or your service agreement and fail to cure the breach within 10 days of written notice.
• Your business loses required licenses or credentials.
• Payment is overdue by more than 30 days.

Upon termination, we will provide you with your data, website files, and any work product you have paid for. Access to our proprietary tools and platform will be discontinued.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and notify active clients via email. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
